3. User Responsibilities

By using our services, you agree to:

• Provide accurate and complete information when requested
• Use our services only for lawful purposes
• Comply with all applicable laws and regulations
• Not use our services to infringe on third-party rights
• Not attempt to gain unauthorized access to our systems
• Not resell or redistribute our services without authorization

4. Acceptable Use Policy

You may not use our services to:

• Collect data that violates any person's privacy rights
• Scrape websites in violation of their terms of service
• Engage in any activity that could damage, disable, or impair our services
• Transmit any malicious code or interfere with the integrity of our systems
• Use the data obtained for illegal activities including discrimination, harassment, or fraud
• Violate any applicable local, state, national, or international law

5. Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of ProAPIs and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any data you provide to us for processing. We do not claim ownership over the data we collect on your behalf, but we retain ownership of the methods, tools, and software used to collect and process that data.

6. Payment Terms

For paid services:

• Fees are as quoted in your service agreement or invoice
• Payment is due according to the terms specified in your agreement
• All fees are non-refundable unless otherwise specified
• We reserve the right to modify pricing with 30 days notice
• Late payments may incur additional fees and service suspension

7. Service Level and Availability

While we strive to provide reliable services, we do not guarantee uninterrupted access. We may:

• Perform maintenance that may temporarily affect service availability
• Modify or discontinue features with reasonable notice
• Experience downtime due to factors beyond our control

Specific service level agreements (SLAs) may be negotiated as part of enterprise contracts.

8. Data and Privacy

Your use of our services is also governed by our Privacy Policy and, where applicable, our Data Processing Agreement. These documents are incorporated by reference into these Terms.

9. Limitation of Liability

To the maximum extent permitted by law, ProAPIs shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, goodwill, or other intangible losses
• Any damages resulting from your use or inability to use our services
• Any unauthorized access to or alteration of your data

Our total liability shall not exceed the amount paid by you to ProAPIs in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to defend, indemnify, and hold harmless ProAPIs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of our services or violation of these Terms.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Violation of applicable laws
• Conduct that we determine to be harmful to other users or our business

Upon termination, your right to use the services will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
